The Visa Command-Line Interface (“Visa CLI”), our website at http://app.visacli.sh (“Site”), along with related websites, servers, software, developer tooling, and Materials (collectively, the “Visa CLI Offerings” or “Offerings”), are provided by Visa Inc. and its Affiliates (collectively, “Visa”). By accepting these Visa CLI User Terms of Service and the Visa CLI Consumer Privacy Notice (together, the “Terms”) in the manner prescribed by Visa (including by “click‑through” or “click‑to‑accept,” as applicable), or by downloading, installing, accessing, or using the Visa CLI Offerings, you acknowledge and agree to be bound by these Terms.

Visa may update these Terms from time to time in its sole discretion. When changes are made, Visa will post the updated Terms and indicate the date the Terms were last revised. Except where prohibited by Applicable Law, your continued use of the Visa CLI Offerings after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to these Terms, you must immediately cease using the Offerings.

  1. Visa CLI Offerings Overview. The Visa CLI Offerings allow users to discover and pay for use of application programming interfaces (“APIs”) for: (i) access to outputs from services offered by third-party providers (“Third-Party Services”) and (ii) access to certain Visa provided services (“Visa Services”), in each case in exchange for a fee (each, a “Paid Service”). Visa may add, modify, or remove Paid Services at any time.
  2. Eligibility and Authority. By accessing or using the Offerings, you represent and warrant that: (a) if you are accepting these Terms on behalf of an organization or legal entity, such entity is organized, located in, or otherwise has its principal place of business in the United States, and you have the full right, authority, and capacity to accept these Terms as its authorized representative, and such entity will be bound by these Terms; (b) if you are an individual, you are at least eighteen (18) years of age, reside in the United States, and have the legal capacity and right to accept these Terms; (c) these Terms constitute legal, valid, and binding obligations enforceable against you; and (d) your acceptance of and performance under these Terms do not violate any Applicable Law or breach any other agreement to which you are a party.
  3. Early Beta; Experimental Materials; Assumption of Risk. The Offerings are provided as part of early beta testing of Visa CLI. Use of the Offerings is at your own risk. You are solely responsible for all transactions initiated through the Offerings using your payment methods, whether initiated by you directly or by any automated system, AI agent, or third-party software operating under your instructions. To the extent you use your own personal equipment, devices, or systems to access or use the Offerings, you are solely responsible for such equipment, including its security, configuration, maintenance, and any consequences arising from its use. The Offerings are experimental in nature, have not been fully tested, and may contain defects, errors, vulnerabilities, or other issues that could cause failures, inaccuracies, security risks, data loss, service interruptions, or other adverse outcomes, including unintended and erroneous transactions. The Offerings are not intended for general availability, commercial release, or widescale deployment. By using the Offerings, you expressly acknowledge that you are voluntarily participating as an early tester of an experimental offering and that you assume all risks associated with such use.
  4. Payment. a) Eligible Payment Method. Visa CLI allows you to initiate payment transactions using an eligible payment method for Paid Services. In using Visa CLI to initiate transactions, you authorize Visa to initiate charges or debits to that payment method as necessary to process transactions. All transactions initiated through Visa CLI are processed using your selected payment method and are subject to applicable network rules, issuer approval, and any spending or usage controls. You acknowledge that transactions may be resubmitted for processing in the event of a decline or failure. Visa may delay, limit, or decline transactions that appear suspicious, may involve fraud or misuse, or may violate Applicable Law, these Terms, or Visa policies. Except as otherwise provided in these Terms, any transactions conducted in connection with the Paid Services are funded solely by you using your own personal funds and such funds are not sponsored, funded, reimbursed, or guaranteed by Visa. Transactions are final, and no returns, replacements, or refunds are permitted, except as required by Applicable Law. Not all cards, issuers, or payment methods are supported, and Visa does not guarantee eligibility of any particular card or issuer. b) Pre-paid Credits; Refunds. Visa may require you to prepay in advance for certain Paid Services by purchasing credits that are linked to your account (“Credits”), together with applicable payment processing fees and transaction fees. Before you pay any fees, you will have an opportunity to review and accept the fees you will be charged. Currently, Visa requires the purchase of Credits, with a minimum purchase amount of $10 per transaction. Once purchased, unused Credits are non‑refundable, except where prohibited by Applicable Law. c) No Transfer. You may not transfer or sell Credits, whether paid for or provided as part of a Promotion (defined below), to any other person or entity, and Credits may only be used by the holder of the account to which the Credits are associated. d) Credit Expiration; Recharge. Unused Credits expire three hundred sixty-five (365) days after purchase. Credits will also automatically expire if you close your account and cannot be recovered, except as required by Applicable Law. Credits have no cash value and are not legal tender, currency of any kind, wages, salary, earned compensation, stored value accounts, bank deposits, a substitute for fiat currency, guaranteed consideration, redeemable or exchangeable for any sum of money or monetary value, and they do not confer any personal property right. You may review your available Credit balance in your account. You may have the option to add Credits to your account by authorizing a charge to the payment method of your choosing when your available Credits are below a threshold amount ("Recharge"). If you enable Recharge, you authorize Visa to charge your selected payment method. You are solely responsible for verifying that the proper amount of Credits has been added to or deducted from your balance. Your Credit balance is not a bank account, digital wallet, stored value account, or other payment device. e) Promotions, Invite Codes, Onboarding Offers, and Referrals. Visa may offer invite codes, promotional campaigns, referral programs, onboarding bonuses, promotional funding, or similar offers (“Promotions”). Unless expressly stated otherwise in writing: i) Promotions are limited, discretionary, revocable offers; ii) Promotions have no cash value and are not legal tender, currency of any kind, wages, salary, earned compensation, stored value accounts, bank deposits, a substitute for fiat currency, guaranteed consideration, redeemable or exchangeable for any sum of money or monetary value, and they do not confer any personal property right. iii) Eligibility, amount, timing, availability, claim process, and related terms are determined by Visa in its sole discretion; iv) Visa may limit Promotions by person, entity, household, device, payment method, organization, geography, referral network, or other anti-abuse signal Visa reasonably uses; v) Visa may require verification, additional information, or completion of specified steps before issuing any promotional benefit; vi) Visa may deny, pause, cancel, or refuse to honor any Promotion before transfer if Visa suspects fraud, abuse, duplication, sanctions issues, legal risk, technical error, or violation of these Terms; vii) Promotions may expire before claim or before transfer if not used within the stated offer window, and Visa may end any promotional access window, subsidy window, or claim period before any transfer occurs; and viii) You are solely responsible for any tax consequences associated with Promotions.
  5. Third-Party Services. Third-Party Services are subject to separate terms and conditions specified by third-party providers not affiliated with Visa (each, a “Third-Party Merchant”). By using Third-Party Services, you agree to the applicable Third-Party Merchant’s terms of service, privacy notices, acceptable use policies, eligibility rules, uptime and performance terms, as applicable (collectively, the “Third-Party Service Terms”), surfaced for convenience here. Visa does not sell, provide, operate, control, license, endorse, guarantee, or assume responsibility for any Third‑Party Services, and Visa is not an agent of any Third-Party Merchant. Visa makes no representations or warranties, and assumes no responsibility, with respect to the availability, performance, accuracy, legality, reliability, appropriateness, or quality of any Third‑Party Services, or for any content or outputs generated by or through Third‑Party Services. Third‑Party Services and related content may be modified, limited, suspended, or discontinued at any time by the applicable Third-Party Merchant, without notice. Visa is not a party to, and does not control or assume responsibility for, any agreement between you and a Third-Party Merchant.
  6. AI‑Generated Content and Data Sources. The Offerings may enable access to Third‑Party Services that provide artificial‑intelligence‑generated outputs, including without limitation images, audio, music, text, code, or data derived from third‑party data sources (“AI‑Generated Content”). AI‑Generated Content is produced automatically by third‑party systems and may be inaccurate, incomplete, misleading, offensive, or otherwise unsuitable for your intended use. Visa does not review, curate, filter, screen, moderate, or validate AI‑Generated Content and makes no representations or warranties regarding its accuracy, legality, originality, non‑infringement, or fitness for any particular purpose. You are solely responsible for evaluating, reviewing, and determining the appropriateness of any AI‑Generated Content or data obtained through the Offerings before using, relying on, publishing, or distributing it. You acknowledge that AI‑Generated Content may be subject to intellectual property, licensing, attribution, or usage restrictions imposed by the applicable Third-Party Merchant or underlying data sources, and that you are responsible for complying with all such requirements. Visa does not guarantee that AI‑Generated Content is free from third‑party rights or claims. Your use of AI‑Generated Content is at your own risk.
  7. Programmatic and Automated Access. The Offerings may be accessed via command-line interface tools, APIs, access keys or other programmatic means (collectively, "Programmatic Access"). Because Visa CLI is designed for automated and agent-driven use, additional responsibilities apply. If you use Programmatic Access, you acknowledge and agree that: a) No Confirmation Step. Transactions initiated through Programmatic Access may execute immediately and irreversibly upon satisfying applicable conditions, without any secondary confirmation prompt. You are solely responsible for ensuring that any automated system you operate or authorize is correctly configured before enabling it to interact with the Offerings. b) Agent and Automated Systems. If you authorize or cause any third-party materials or AI system to access the Offerings using your credentials, you assume full responsibility for all actions taken by such systems as if you had taken those actions directly. Visa does not distinguish between human-initiated and machine-initiated transactions. c) Credential Authority. Visa has no ability to verify whether a request submitted through Programmatic Access using valid credentials was authorized by you or resulted from unauthorized access, misconfiguration, or user error. You are solely responsible for securing your credentials and for all activity occurring through Programmatic Access. d) No Safeguard Guarantee. Any spending limits, rate limits, or access controls made available through the Offerings are provided as a convenience only and are not guaranteed to prevent all unintended transactions in all circumstances, including due to network conditions, race conditions, or Materials errors. You are solely responsible for implementing independent controls and monitoring on your own systems.
  8. Infrastructure Providers. Visa uses, and may change at any time, third-party infrastructure providers for hosting, storage, analytics, payments, settlement, models, search, enrichment, communications, and other infrastructure. Visa may add, remove, replace, suspend, or limit any infrastructure provider at any time. Visa does not guarantee continued availability of any specific infrastructure provider, continued access to any specific infrastructure-backed capability, or that any infrastructure-backed functionality will continue at all.
  9. User Content. a) Visa has no obligation to review, monitor, or verify the prompts, files, data, communications and other material you submit to the Offerings (“User Content”), but may do so for legal, security, operational, product, safety, compliance, abuse-prevention, or provider-risk reasons. Visa may refuse, disable, remove, filter, block, or decline to process any User Content, and has no obligation to store, maintain, or return any User Content except as required by Applicable Law. b) Visa may use automated abuse detection mechanisms designed to detect harmful content. If these mechanisms detect apparent child sexual abuse material, you agree and instruct that we may report the incident to the National Center for Missing and Exploited Children or other authority. c) You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against Visa with respect to User Content. Visa expressly disclaims any and all liability in connection with User Content. If notified by a user, content owner or third party that User Content allegedly does not conform to these Terms, we may investigate the allegation and elect to terminate your access to the Offerings, in our discretion.
  10. Use of the Materials. Subject to your compliance with these Terms, Visa grants you a personal, non-exclusive, non-sublicensable, non-transferable, revocable, and limited license to use the Materials solely to enable access to the Offerings, including: (i) access to outputs from Third-Party Services; and (ii) access to Visa Services. Subject to the foregoing, you may download, install, access, review, and use the Materials solely as necessary to incorporate, integrate, evaluate, and test the Offerings’ functionality within your application(s) in connection with your use of Paid Services, and for no other purpose. The license granted under this Section is limited to Visa Intellectual Property Rights embodied in, and necessary for, the use of the Materials and does not include any other Visa intellectual property. All rights not expressly granted herein are reserved by Visa. For clarity, Visa licenses use of the Materials only; Third‑Party Services and their outputs are provided directly by Third‑Party Merchants to you under separate Third-Party Service Terms.
  11. Geographic Restrictions. The Materials are available only to U.S. cardholders, and you represent and warrant that any card used in connection with the Materials is issued by a financial institution located in the United States. Use of the Materials by non‑U.S. cardholders or outside the United States is prohibited.
  12. Use Restrictions. You agree that you will not, and will not attempt to, directly or indirectly: a) Jailbreak, hack, reverse engineer, decompile, disassemble, or otherwise attempt to derive the underlying models or system architecture of the Materials; b) Circumvent, disable, or interfere with any security features, spending limits, approval mechanisms, or safeguards implemented by Visa in connection with the Materials, including by masking IP addresses or using proxy services; c) Violate any Applicable Law or third-party right; d) Modify, adapt, or create derivative works of the Materials except as expressly permitted by Visa; e) Use the Materials to build a competitive product or service, or to benchmark the Materials for competitive purposes; f) Use the Materials in any manner inconsistent with its intended purpose or applicable documentation; g) Harass, threaten, stalk, defame, exploit, or harm any person or entity; h) Send spam, phishing, robocalls, deceptive outreach, or malware; i) Scrape, enrich, surveil, profile, or use personal data in a manner that is unlawful, discriminatory, abusive, or without any required consent or lawful basis; j) Impersonate another person or entity or misrepresent affiliation, authority, or origin; k) Generate, host, upload, send, distribute, or facilitate illegal, infringing, fraudulent, or harmful content; l) Use the Offerings or any output, data, enrichment, score, ranking, recommendation, or other result as a consumer report, investigative consumer report, or for determining a person's eligibility for employment, hiring, contracting, compensation, credit, lending, underwriting, housing, insurance, education, government benefits, licenses, immigration status, or any other purpose regulated by the Fair Credit Reporting Act or analogous law; m) Evade payment requirements, fees, rate limits, moderation systems, anti-abuse controls, or access restrictions; or n) Use the Materials for emergency services, weapons, unlawful surveillance, or other prohibited high-risk use cases.
  13. Permissions. You are solely responsible for: a) Securing and maintaining all necessary licenses, permissions, and rights required to develop, operate, and use your Application(s), User Content, or any services supported by you that implement or incorporate User Content or the Materials, as required under Applicable Law, rules, or Third‑Party Service Terms. Visa is not responsible for any failure to obtain or maintain such licenses or permissions. You will use the Materials in compliance with Applicable Law and industry-specific requirements and standards, including, if required for your use case, obtaining any government licenses or registrations; b) Reviewing and approving transaction details prior to authorization; c) Complying with all reporting and compliance obligations associated with your use of the Materials. d) Your use of, and reliance on, any output, recommendation, result, generated media, analysis, or data made available through the Materials.
  14. No Professional Advice. The Materials may provide data, search results, enrichment, analytics, generated outputs, and other information. The Materials do not provide legal, financial, investment, tax, medical, employment, or other professional advice. You are solely responsible for evaluating and verifying any information before acting on it.
  15. Contact and Support. For support relating to Visa CLI, please contact NAVisaCLIcustomersupport@visa.com. Visa may update the contact information for Visa CLI support from time to time.
  16. Confidentiality. You may use and disclose the Materials solely to the extent necessary to exercise the license expressly granted herein and for no other purpose, and you shall not disclose, provide, make available, or otherwise share the Materials, in whole or in part, with any third party without Visa’s prior written consent.
  17. Submissions. If you transmit to Visa any Feedback in any form or manner, you grant to Visa and its designees a royalty-free, fully paid, transferable, sublicensable, non-exclusive, irrevocable, perpetual, unrestricted, worldwide license to publish, transmit, perform, display, modify, create derivative works from, and otherwise use or exploit, such Feedback and any related Intellectual Property Rights, for any purpose, including, without limitation, advertising and promotional purposes, in any media, now or hereafter known, without any credit, notice, approval or compensation to you. Without limitation thereof, you agree that Visa and its designees are free to use any ideas, concepts, know-how or techniques contained in any Feedback you provide for any purpose whatsoever, including, without limitation, developing and marketing products, services and content. Furthermore, any Feedback you transmit to Visa, even if marked as confidential, shall not create any confidentiality obligations on the part of Visa unless otherwise agreed in a separate, signed agreement.
  18. Modifications. Visa retains all right, title and interest in and to Materials, including any and all Intellectual Property Rights therein and thereto. You are not authorized to make any Modifications to the Materials (except as provided herein), provided, however, that your (i) implementation of the Materials within your Application(s) or use of or reference to the Materials in the creation of your Application(s) or (ii) translation of the Materials into a different or new programming language, each in strict compliance with these Terms, shall not be deemed a violation of this provision. If you make any unpermitted Modifications, you hereby assign, and will assign to Visa, all right, title, and interest in, or to, such Modifications that you or your Affiliates may create, and the associated Intellectual Property Rights, and will execute, or cause the relevant Affiliate or employee to execute, and deliver any documents that Visa may reasonably require to effect such assignment and transfer.
  19. Compliance with Laws. You shall use the Materials and Offerings in compliance with all Applicable Law, including without limitation all applicable export control, sanctions, data protection, and anti‑money laundering laws.
  20. Taxes. “Taxes” means any duties, customs fees, levies or taxes (other than income tax) associated with the sale of Paid Services, including any related penalties or interest. You are responsible for any Taxes and must pay for Paid Services without any reduction for Taxes.
  21. Visa Updates. Visa may, in its sole discretion, make updates, modifications, or changes to the Offerings from time to time (each, a “Visa Update”). Any Visa Update made available to you will be subject to these Terms or such other terms as Visa may specify.
  22. Termination. Visa may, at any time and without notice, suspend or terminate your access to the Offerings. Upon expiration or termination, all rights and licenses granted to you under these Terms will immediately terminate, and you must cease all use of the Offerings, including in connection with any existing or future Applications.
  23. LIMITATIONS OF LIABILITY. THE OFFERINGS ARE PROVIDED “AS IS”, “AS AVAILABLE”, “WITH ALL FAULTS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. VISA DOES NOT WARRANT THAT: THE OFFERINGS WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OUTPUTS, LISTINGS, SEARCH RESULTS, ENRICHMENT RESULTS, GENERATED MEDIA, BOOKINGS, REGISTRATIONS, ANALYTICS, OR OTHER RESULTS WILL BE ACCURATE, COMPLETE, LAWFUL, OR FIT FOR YOUR PURPOSE; ANY EXTERNAL RESOURCE OR THIRD-PARTY PROVIDER WILL BE SAFE, LAWFUL, TRUTHFUL, OR PERFORM AS EXPECTED; OR ANY PAYMENT, MESSAGE, CALL, GENERATION, HOSTING RESULT, OR TRANSACTION WILL SUCCEED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VISA OR ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF VISA AND ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE OFFERINGS OR THE USE OR OTHER DEALINGS IN THE OFFERINGS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISA’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE OFFERINGS, ANY TRANSACTION, ANY THIRD-PARTY SERVICES, ANY CONTENT OR OUTPUTS, OR THESE TERMS SHALL NOT EXCEED ONE THOUSAND U.S. DOLLARS (US $1,000).
  24. Indemnification. You agree to defend, indemnify, and hold harmless Visa and its Affiliates, and their respective directors, officers, employees, and agents or service providers, from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Application(s), User Content, or any services you develop, operate, or support that implement or use the Offerings or Paid Services; (b) your use of the Offerings, any Paid Services, or any content or outputs accessed or generated through the Offerings; (c) your violation of these Terms, Applicable Law, or any Third‑Party Service Terms; or (d) your infringement, misappropriation, or violation of any intellectual property, privacy, publicity, or other rights of any third party.
  25. Survival. Sections relating to Intellectual Property Rights, disclaimers, limitations of liability, indemnification, confidentiality, and any other provisions which by their nature should survive, shall survive any expiration or termination of these Terms.
  26. Governing Law and Dispute Resolution. a) Binding Arbitration. All claims arising out of or relating to these Terms shall be governed by the laws of the State of New York, without regard to its conflicts of law principles. Any dispute arising out of Terms shall be solely and finally resolved through binding arbitration administered by JAMS in accordance with the then-current JAMS Comprehensive Arbitration Rules. Any dispute shall be arbitrated on an individual basis. No party may join or consolidate claims in arbitration by or against others. The arbitration hearing shall be held in San Francisco, California in English. The Parties shall maintain the arbitration proceeding, its contents, and the award as confidential information. To the extent reasonably necessary to prepare for or conduct the arbitration proceeding, each Party may use confidential information, subject to obtaining reasonable confidentiality protections in such instances. b) Class Action Waiver. YOU AND VISA AGREE THAT, EXCEPT AS PROHIBITED UNDER APPLICABLE LAW, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS, AND THE PARTIES HEREBY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE BE BROUGHT, HEARD, ADMINISTERED, RESOLVED, OR ARBITRATED ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND DISPUTES OF MORE THAN ONE USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER USER. Subject to this Section, the arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
  27. Entire Agreement. These Terms constitute the entire agreement between you and Visa and govern your use of the Offerings, superseding any prior agreements between you and Visa with respect to the Offerings. The failure of Visa to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the intention as reflected in the provision, and the other provisions of these Terms remain in full force and effect.

Definitions. a) “Affiliate” means any entity that controls, is controlled by, or is under common control with a party. b) “Applicable Law” means all international, federal, state, provincial, and local laws, rules, regulations, binding regulatory guidance, directives, and governmental requirements applicable to the Offerings or performance of your obligations under this Agreement. c) “Application(s)” means your systems, devices, software or solution, or any functionality, component or aspect thereof, that is accessing and/or using, or for which you are requesting access and/or use, of the Offerings. d) “Feedback” shall mean any and all suggestions or comments, or other works or information provided by or on behalf of you or any Affiliate to Visa for use in connection with, or otherwise relating to, the Offerings, or a Visa product, program or service, or any portion thereof. e) “Intellectual Property Rights” shall mean all intellectual property rights on a worldwide basis, including (i) all rights under all classes or types of patents and applications thereof (including, without limitation, utility models, invention registrations, supplementary protection certificates, and all divisions, provisionals, continuations, continuations-in-part, extensions or re-examinations or reissues) and equivalent or similar rights anywhere in the world in inventions and discoveries in all countries of the world, (ii) trademarks (whether registered or unregistered), trademark applications, trade names, service marks (whether registered or unregistered), service mark applications, (iii) copyrights (whether registered or unregistered), copyright applications, mask work rights, moral rights, and other rights in works of authorship, (iv) trade secrets, know-how, processes, technology, development tools, ideas, concepts, design rights, data base rights, methodology, algorithms and inventions, (v) any other proprietary rights in technology of every kind and nature, and (vi) any rights to use or exploit any of the foregoing. f) “Materials” means Visa CLI, any associated or related software, APIs, tools, and utilities; all documentation, specifications, and instructions; any Visa‑provided services (including any Paid Services provided by Visa); and any information or materials made available by Visa through or in connection with the Visa CLI, including all data, text, outputs, graphics, images, audio or video clips, logos, icons, software code (in any form), documents, and links, but excluding any Third‑Party Services or the outputs thereof, which are provided solely by Third-Party Merchants unaffiliated with Visa pursuant to separate Third‑Party Service Terms. g) “Modifications” shall mean any modifications, changes, enhancements, adaptations, combinations, alterations, corrections, error-fixes, improvements, updates, derivative works or upgrades of or to the Offerings or any portion or component thereof.
